| Although this Service Contract Agreement may appear to be bundle of jargon, it is to Ensure You of Your Rights and My Commitment to you regarding the Legal Terms of My Service. To me, you must know, and be assured that your confidential information, where your company is concerned will be kept confidential. This is both a public and private document for your safety and may be produced as proof of entitlement.
Therefore, here within, is my commitment to you:
Service Contract

TERMS OF EMPLOYMENT
1. LENGTH OF EMPLOYMENT Bookkeeping ( Account Recording) ,Payroll and / or Small Business Financial Management Administration: I shall serve your company (Name of Your Company________________________________ as Payroll, Book-keeper (Accounts), and/ or Small Business Financial Administrator or in such other capacity of an equivalent status as the company shall reasonably require from Day, month, year_________________________________ for a period either one, three, six and/ or 12 months (please specify your time requirement _________________________________ pending 14 days from within the initial date of signing this contract to terminate it if you decide to cancel and so you have the right to change your mind within 14 days, and a 30 day written notice of termination of this contract, whereupon agreed by both parties signing this contract), the period shall be extended by a further year on each anniversary of the commencement date, if you desire; otherwise you may terminate this contract. (The date from which continuous employment is counted is Day, Month, Year)__________________________________________.
2. My DUTIES
During my employment under this contract, as your Company’s Accounts, Payroll Administrator, and / or Small Business Financial Manager will perform such duties (being duties appropriate and in abidance with all tasks and duties relevant and promised to deliver) within the times required, with respect of confidentiality and never share or permit your confidentiality to be of risk. b) during the working hours of Monday to Friday (unless prevented by ill-health or accident and except during holidays permitted under this contract) devote the time, attention and abilities to carrying out the duties under this contract. c) carry out duties in a proper, loyal and efficient manner and use the best endeavours to promote the interests and reputation of the company and not do anything to its detriment; d) travel to your premises ( within the United Kingdom) as the company may from time to time reasonably may require;
3. CONFIDENTIAL INFORMATION
a) During My employment under this contract, and after the termination thereof (for whatever reason) I, Fran Colao shall observe strict secrecy as to the affairs, dealings and concerns of the company and shall not, either during employment or at any time thereafter, except in the proper course of my duties under this contract, or with the prior written consent of your company, divulge or communicate to any third party (except to another executive of the company authorised to receive such information), any such details, trade secrets or other confidential information concerning the organisation, business or finances of the company or any of its dealings, transactions, affairs, customers or clients which are within or may come within my knowledge during the course of my employment and shall not use such information or knowledge which I may acquire in any manner which may injure or cause loss directly or indirectly to the company or use this personal knowledge of or influence over any customers, clients, suppliers or contractors of the company so as to take advantage of the company's trade or business connections or utilise information confidentially obtained by them. The provisions of this clause shall cease to apply to information which enters the public domain other than directly or indirectly by reason of the default of the executive. Nor shall the I use information about the company's affairs to My own account. I shall use my best endeavours to prevent the publication or disclosure of any trade secret or confidential information about the company.
4.SUMMARY TERMINATION
Without prejudice to any remedy that the company may have against the me, and vice versa the company may end the employment hereunder summarily by notice in writing, if: a) either is convicted of an indictable offence (other than a motoring offence which does not result in the imposition of a sentence of imprisonment); or b) either is guilty of any gross misconduct negligence or default or serious breach or non observance of any of the stipulations herein contained; or either becomes prohibited by law from being a company. If the company needs to take such a step, it will not normally require the employees to appear at their place of work during the period of notice but will retain them on the books as an employee until the proper expiry of the period of notice. During that time they shall remain an employee of the company and be constrained by all the terms and conditions in this contract save that of carrying out their normal duties.
5.MISREPRESENTATION
I nor Your Company shall not at any time make any untrue statement in relation to either (mine or your) company or any associated company, and in particular shall not after the termination of employment hereunder wrongfully represent myself as being employed by or connected with your company or any associated company.
6.MY OBLIGATIONS UPON TERMINATION
Upon the termination of employment hereunder for any cause whatsoever I shall: a) immediately deliver up to the company all documents, statistics, accounts, records, and other items of relevant nature or description that may be in my possession or under my control which relate in any way to the business or affairs of the company or of any associated company and no copies of any such documents shall be retained by myself.
7. HEALTH AND SAFETY
I will also abide by the health, safety and security rules, of the company as may from time to time be determined.
8.DATA PROTECTION
Your company reserves the right to collect, store and process personal data about each and every employee insofar as it is relevant to their employment during employment and for six years thereafter. Your Company’s data, files and reports are those that will be sent and needed by you as your Company to be kept on your files, as required by the HMRC. This includes the processing of sensitive data (any confidential information ie. Names, addresses, tax codes, etc,,, are termed sensitive), which is why I maintain this agreement. It is your right to know your information is kept confidential. I may retain copies of works carried out, as required, and only as required. 9. Renumeration I shall be paid by way of remuneration for my Book-keeping and Payroll services during my employment under this contract; a salary at the following rates, as specified with the Service Price List ( See Below). You may opt to pay monthly, quarterly, and for annual agreements I will require a 12% Deposit, of what ever service you select, once I receive your data and commence works; whereby, payment in full will be required by either monthly, quarterly and/ or annually and/or for each individual service when the work is complete and returned to you . VAT will be added to each payment @ the current rate of 15%. Please TICK or CIRCLE those services you require. Please be aware, You may be required to sign a consent form, for the HMRC, in order for me to act on your behalf, all of which I can either post or email to you. If you require multiple services, this can usually be completed on one form. | All services include any scheme used: | Cash, Annual and Flat Rate Schemes | and whether your VAT Returns are monthly, quarterly or annually. | | | Accounts + VAT Return + Tax Return + All Reports | Per Month Account Recording You provide me with all transactions each month I record, do all processing and send all reports to you for your records. £450. 00 per year for a 12 month contract, that's 37.50 per month Note: If you have less than 25 transactions per month I will charge £20.00 | Per Quarter Account Recording You provide me with all transactions each quarter, I record, do all processing and send all reports to you for your records. £550.00 per year for a 12 month contract, that's £137.50 per quarter, or 45.83 per month Note: If you have less than 25 transaction per quarter I will charge £20.00, less than 50 transactions per quarter I will charge £35.00. | Annual Year End Recording You provide me me with each month's transactions; (first 11 months must be submitted a month in advance of your year end, last 12th month at least 7 to 10 days). As this includes the entire year, it can be an extremely tedious and time consuming task.
